Regulatory Sandbox Description

This document describes the regulatory and organizational sandbox contour: how the fund platform, contributor platforms, and pilot participants are connected.

The VC HB3 Accelerator regulatory sandbox (digital sandbox) is an ecosystem of operating systems:
- the fund operating system VC HB3 Accelerator (shared groups and events for participants from all countries);
- contributor operating systems (local operators) in countries of presence (local groups and events for their country).
The sandbox brings participants together by role: regulator / investor / contractor / customer — and connects their work through smart contracts and tokens (licenses and governance tokens).
How the sandbox is structured
1) Fund operating system (international level)
On the fund OS, events for individual groups from all countries take place:
- regulator / investor / contractor / customer;
- accelerator program and access to resources/service for participants.
2) Contributor OS (local level)
On contributor OS instances, events and work take place for groups in a specific country. The contributor onboards participants, provides the local operating contour, and sells DLE license tokens.
3) How a participant connects (full chain)
- The contributor in the country sells the participant a license token. Profit from the sale goes to the author-developer, who contributes it to the fund treasury.
- The participant installs DLE (on-premises) on their device/server.
- The participant deploys their own smart contract with governance tokens for their company.
- The participant transfers the license token to the balance of their smart contract. The fund verifies the participant’s smart contract and credits fund governance tokens to its balance. From that moment, decisions (for example, voting in the fund) are made by holders of the participant company’s tokens.
- The participant becomes a fund token holder: dividends (15% of treasury inflows), voting, entry into a profile accelerator cohort, and participation in events on the fund platform.
Thus, a participant who bought a license, installed DLE, deployed their smart contract, and submitted its address to the fund joins the ecosystem with rights to dividends and governance participation.
Legal status
The sandbox is not a separate legal entity. The legal regime of sandbox operations is defined by an experimental legal regime (EPR) and a pilot regulation agreed with the regulator. The local contour in a country is provided by a contributor (local operator) acting under a contractual model with the rights holder and who may act as an authorized license seller.
Current status: demonstration contour
- DLE and smart contracts are used on a test network.
- For a sandbox pilot, identifier lists and tagging rules approved by the regulator are not yet agreed.

How to enter the sandbox
- Review terms and pricing: service-terms.md
- Purchase a license token from a contributor in your jurisdiction
- Register on the accelerator platform: https://hb3-accelerator.com
- Install DLE on your server and deploy your company’s smart contract
- Submit the smart-contract address on the accelerator platform
- After connection, proceed to the sandbox stage, acceleration, and fund governance contour according to your role and jurisdiction
